Riordan Corporate Compliance Plan
This plan is to ensure that Riordan Manufacturing is in compliance with federal, state, international, and local laws. It is also to guarantee that Riordan provides an ethical code of conduct, while remaining profitable and continue to grow. This is a plan that everyone must be required to comply with including Officers, Board members, employees, and those contracted by the company. Compliance is mandatory in order to prevent legal issues from occurring, and to detect legal issues and correct them.
Employee Resources: As Riordan continues to expand, its’ number of employees continually grows. Riordan has a human resources department that manages employee relations, compensation, recruitment, and payroll. It is the responsibility of the HR department to make sure that they have an open door policy. If any issues were to arise, it is their responsibility to ensure that all problems are handled professionally and ethically. Riordan fully complies with labor laws and statutes pertaining to employee and workplace environment. In order to avoid risks associated with Title VII, Riordan does not discriminate based on gender, age, disability, sexual orientation, race, or religion. If there are accusations of discrimination, Riordan will take the necessary steps in order to diffuse and correct the situation. The company will start by using a from of Alternate Dispute Resolution and try to keep the situation from escalating.
Alternate Dispute Resolution: ADR offers the parties an alternative means to settling their disputes outside of the courtroom (Cheeseman, 2010.) Because this is an alternative to an otherwise costly way of settling differences, Riordan will make every attempt to solve issues with this approach. This will not only save money, but will keep the company out of being made a public spectacle. Initially the company will try Mediation, and if not settled they would try arbitration which if a decision is rendered would be binding. If the dispute is not settled after arbitration or mediation, it is more likely to end up in litigation. It is important that if an employee has an accusation, that it is immediately brought to their manager. The manager in turn gets the Chief Legal Counsel involved, Lowell Bradford.
Enterprise Liability: Because Riordan Manufacturing is owned by Riordan Industries, the Enterprise Liability extends from Riordan Manufacturing to Riordan Industries. Riordan must create a team to oversee all manufacturing processed for the two entities. Lowell Bradford will play an active role in assuring that the company isn’t violating any laws in the manufacturing and disposing of products. Because Riordan manufactures products that have the potential of harming others, due to strict liability they are responsible for the risks associated with the use and misuse of their products. A way to address the risks associated with the misuse of products, is to have a team designed to access the danger of the products and potential liability risks associated with them.
Real and Intellectual Property: Riordan will keep an accurate listing of all of the real or tangible property. They will also keep track of the depreciation of their equipment. The business, land, equipment, desks, building, and computers are all real property. These items are tangible and are therefore real. The transfer of any of the property will be done properly and will include a traceable bill of sale. The legal department will be responsible for not only ensuring that all sale and transfer documents are legal, but they will also provide security for Riordan’s intellectual property. Lowell Bradford and his team will make sure that there is not patent infringement committed by Riordan’s competitors. He will also ensure that Riordan is in compliance will all intellectual property laws.
Governance: Riordan’s Board of Directors is responsible of managing the business according to its’ bylaws, Articles of Incorporation, and the state corporation requirements. The corporate compliance officer will give a detailed formal report of investigations to the Chief Executive Officer (CEO) immediately after the allegation. This will ensure the CEO will immediately be aware of the result of any investigations. The Corporate Compliance Committee, under the direction of the corporate compliance officer, will develop and implement internal controls and procedures that promote Riordan Manufacturing’s compliance with all laws, rules, and regulations that apply to any portion of the business. The objective of the compliance committee is to prevent, recognize and correct unlawful and/or unethical behavior.
International Law: Because Riordan Manufacturing operates in China, it is subject to international law. Riordan has a joint venture with a small group of Chinese nationals in China. The joint venture project produces fan parts in Hangzhou, China. Riordan shall meet all fiduciary duties of loyalty and care in this joint venture because they are subject to damages for any violation. Riordan should follow guidelines on how to do business in Hangzhou. Riordan should ensure compliance in this area by establish guidelines in their contract with their Chinese partners. The responsibility to interface with local governments, and regulatory agencies should be part of those guidelines.
Conclusion: The information provided above is a guideline. Unfortunately it is difficult to predict the outcome of potential ethical and legal issues. In order to sustain the business, good judgment and common sense are pertinent to the success of the company. If the above guidelines are followed, Riordan will achieve great success being compliant with all laws and regulations that directly affect the business.
