Memorandum MEMORANDUM To: Supervisory staff From:, Manager Re: Contract The contract seems to be unilateral in nature. S-C plans to keep its promise to Span once the performance and completion of software has been met. In order for both parties to resolve their differences, managers from both companies are required to meet and negotiate a new contract. This new contract will focus on: Performance Change control Communication and Reporting Project structure Performance Under the new contract both companies will adhere to the performance amendment which states that neither party will be able to terminate contract after 50% of work is completed and if C-S choose to terminate, payment in full will be paid to Span. Span is committed to the project and intends on completing its obligation to C-S sharp. This clause is clear and will allow both parties to be on the same page. Change control Communication and Reporting Project structure Span systems had two choices- one was to take C-S to court for breaching the contract with claims of moving the development of project to another company. The second choice is to do exactly what they did. Span realized the problem was caused by both parties and that the solution was not out of reach to regain the confidence of Citizen- Schwartz and associates. Negotiating the contract allowed them to make the necessary changes that met the satisfaction of Mr.Ther. The management team of Span should have considered a mediator to evaluate both parties’ claims to come forth with the best result. Conclusion
